Terms of Service

Jvoice provides cloud infrastructure to configure, host, and operate AI voice agents, including workflow design, telephony routing, inbound and outbound calling features, knowledge-base tooling, and related dashboard capabilities (collectively, the 'Service').

The Service is an orchestration and hosting platform. You may connect third-party AI, speech, and telephony providers and choose models at each applicable layer. Unless explicitly stated in writing, JPrime does not provide those underlying AI or carrier services and is not responsible for provider availability, pricing, or output quality.

We may modify, suspend, or discontinue features with reasonable notice where practicable. Beta or preview features may be offered as-is with limited support.

You must be at least 18 years old (or the age of majority where you reside) and capable of forming a binding contract. You must provide accurate registration information and keep credentials confidential. You are responsible for all activity under your account.

We may refuse registration, close accounts, or enable waitlist-only access when indicated on our website or in your environment configuration.

Compliance: You are solely responsible for compliance with laws applicable to your use of the Service, including telecommunications, marketing, call recording, artificial intelligence disclosure, consumer protection, and data protection laws in each jurisdiction where you operate or contact individuals.

Consent and notice: For outbound calls, recordings, monitoring, and automated or AI-assisted interactions, you must obtain and document all required consents and provide required notices to call participants.

Third-party providers: You are responsible for your agreements, credentials, quotas, and charges with AI, voice, and telephony providers you connect. You must ensure your use of those providers through the Service complies with their terms.

Your content and data: You retain ownership of content you submit (including scripts, knowledge sources, and recipient lists). You grant JPrime a limited license to host, process, and transmit your content solely to provide and improve the Service, subject to our Privacy Policy.

You may not use the Service to: violate law or third-party rights; send unlawful robocalls or spam; harass, threaten, or defraud; impersonate others without authorization; transmit malware; attempt unauthorized access; probe or scan systems without permission; interfere with Service integrity; or resell the Service without written agreement.

We may investigate violations and suspend or terminate access, remove content, or cooperate with authorities to protect users and the platform.

JPrime charges for platform infrastructure as described on our pricing page, in your dashboard, or in an order form ("JPrime Fees"). Fees may be usage-based depending on your plan. Taxes are your responsibility unless stated otherwise.

AI model, voice synthesis, and other provider usage is generally billed by those providers under your accounts. JPrime Fees do not include third-party provider charges unless explicitly bundled in writing.

You authorize us and our payment processors to charge applicable JPrime Fees. Late or failed payment may result in suspension after notice. Fees are non-refundable except where required by law or expressly stated.

Each party may receive confidential information from the other. The receiving party will use reasonable care to protect it and use it only for purposes of the relationship, except as required by law. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully received without restriction.

JPrime and its licensors retain all rights in the Service, software, documentation, and branding. No rights are granted except as expressly stated in these Terms. Feedback may be used by JPrime without restriction or compensation.

You may not copy, modify, reverse engineer, or create derivative works of the Service except to the extent permitted by mandatory law or with our prior written consent.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, JPRIME DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted or error-free operation, accurate AI-generated speech or text, or successful call completion. AI outputs may be incorrect or inappropriate; you must implement human oversight and safeguards appropriate to your use case.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER JPRIME NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE.

JPRIME'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO JPRIME FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) INR 10,000 (OR EQUIVALENT IN YOUR BILLING CURRENCY), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

You will defend, indemnify, and hold harmless JPrime and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your use of the Service, your violation of these Terms or law, or disputes with call recipients or third parties relating to your deployments.

Either party may terminate for material breach if not cured within thirty (30) days of written notice. We may suspend or terminate immediately for non-payment, legal requirement, security risk, or acceptable use violations.

Upon termination, your right to access the Service ceases. We may delete your data after a reasonable retention period, except as required by law. Sections that by nature should survive (including fees owed, disclaimers, limitation of liability, and indemnification) will survive termination.

These Terms are governed by the laws of India, without regard to conflict of law principles. Courts in Bengaluru, Karnataka, India will have exclusive jurisdiction, subject to mandatory consumer protection or other non-waivable rights in your jurisdiction.

These Terms constitute the entire agreement regarding the Service unless supplemented by a signed order form. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign in connection with a corporate transaction.

We may update these Terms by posting a revised version and updating the "Last updated" date. Material changes may be notified by email or in-product notice. Continued use after the effective date constitutes acceptance, subject to applicable law.
